1. TERMS AND CONDITIONS
Adirose Learning Limited
Website Terms and Conditions
Last updated: 19 April 2026
About these Terms
These Terms and Conditions govern your use of the Adirose Learning Limited website and any booking or use of the services we provide.
By using our website, making a booking, paying for a service, or allowing a child to attend or participate in any of our services, you agree to be bound by these Terms and Conditions.
If you are booking on behalf of a child, you confirm that you are the child’s parent, legal guardian, or otherwise have full authority to act on the child’s behalf.
If you do not agree to these Terms and Conditions, you must not use our website or book any of our services.
About Us
Adirose Learning Limited, referred to in these Terms as “Adirose Learning”, “we”, “us” or “our”, provides private tutorial and educational services for children, generally between the ages of 5 and 11.
Our services may include one-to-one tuition, small group tuition, workshops, courses, events, enrichment sessions and other educational support services. These services may be delivered online, including by Zoom, in person at venues determined by us from time to time, or in a blended format.
Our company details and contact information are set out on our website.
Bookings
All bookings must be made by a person aged 18 or over.
A booking made through our website, by email or otherwise is an offer by you to purchase a service from us. A contract between you and us is formed only when we confirm acceptance of your booking.
All bookings are subject to availability, suitability and payment. We reserve the right to refuse any booking where, in our reasonable opinion, the information provided is incomplete, inaccurate or misleading, the service is unsuitable for the child, we are unable reasonably to accommodate the child’s needs, payment has not been made in accordance with these Terms, or acceptance of the booking would not be in the interests of the child, our staff, other participants or our business.
It is your responsibility to ensure that all information you provide is complete, accurate and kept up to date.
Fees and Payment
The fees for our services will be stated on our website, booking page, invoice or otherwise communicated to you.
Unless we expressly agree otherwise in writing, all fees are payable in advance, all fees must be paid in full in cleared funds by the due date specified by us, and a child’s place is not secured until full payment has been received.
We reserve the right to require full prepayment, staged payments, a deposit, and/or a non-refundable administration or reservation fee. Any deposit or reservation fee stated by us to be non-refundable shall remain non-refundable except where required by law.
Time for payment is of the essence. If payment is not made by the due date, we may, without prejudice to any other rights available to us, suspend the child’s place or access to the services, refuse attendance or admission, cancel the booking, reallocate the place to another customer, withhold materials or further services, charge interest on overdue sums at 4% per annum above the base rate of the Bank of England accruing daily from the due date until payment is made in full, and recover our reasonable costs of collection.
Where a booking is cancelled by us because of non-payment, we shall have no liability to you or the child and may retain any non-refundable sums already paid.
If you initiate a wrongful chargeback or payment dispute, we reserve the right to contest it and recover our losses, fees and costs arising from it.
Cancellations and Refunds
If you wish to cancel a booking, you must notify us in writing.
You may cancel a booking provided that the cancellation is made at least 5 business days before the relevant class, session, course or event is due to take place.
Where you cancel in accordance with the paragraph above, we will refund any fees paid for the cancelled booking, less any non-refundable deposit, any non-refundable administration or reservation fee, and any third-party payment processing charges or similar charges lawfully deductible.
If you cancel fewer than 5 business days before the relevant class, session, course or event, the cancellation will be treated as a late cancellation, no refund, credit or transfer will be due, and the full fee will remain payable.
If a child does not attend for any reason, including illness, holiday, timetable clash, transport difficulty, change of mind, forgetfulness or technical issues on your side, the session or event will be treated as missed and no refund, credit, transfer or make-up session will be due unless we expressly agree otherwise in writing.
Where a booking is for a course, block booking, programme, workshop series or multi-session package, we may treat it as a single composite booking. Cancellation of individual components will not entitle you to a partial refund unless we expressly agree otherwise.
We are under no obligation to rearrange missed sessions.
Changes, Suspension and Cancellation by Adirose Learning
We reserve the right to cancel, postpone, reschedule, relocate, vary or discontinue any service. This includes the right to change the tutor or teacher, the date or time, the format of delivery, the venue, the group size, the content or structure of the service, or the online platform used.
We may do so where reasonably necessary, including because of staff illness or unavailability, safeguarding concerns, health and safety issues, low enrolment, venue issues, adverse weather, technical failures or events beyond our reasonable control.
Where we cancel a service and do not provide a reasonable replacement, rescheduled session or suitable credit, our liability will be limited to refunding the fee paid for the affected service or the unused part of it. That refund shall be your sole and exclusive remedy in respect of any cancellation, postponement, interruption or alteration by us.
We are not liable for travel expenses, accommodation costs, childcare costs, loss of earnings, inconvenience or disappointment arising from changes or cancellations.
Online Services
Online services may be delivered by Zoom or another platform chosen by us.
You are responsible for ensuring that the child has suitable hardware and internet access, a compatible device and software, a safe and appropriate environment for participation, and such supervision as may reasonably be required.
We do not guarantee that online services will be uninterrupted, error-free or compatible with your equipment or connection. We are not responsible for disruption, delay, reduced quality or failure caused by your equipment, systems or internet connection, third-party platform outages, user error, or your failure to keep access details secure.
Meeting links, passwords and login credentials must not be shared with anyone unauthorised.
Unless we expressly agree otherwise in writing, no online session may be recorded, screen-recorded, copied, streamed, photographed, reproduced or distributed.
Parents remain responsible for the child’s supervision, environment and conduct during online services unless we expressly agree otherwise in writing.
In-Person Services
In-person services take place at venues selected by us from time to time.
Parents are responsible for ensuring that the child arrives on time, is collected promptly at the end of the session unless otherwise agreed in writing, is appropriately dressed and equipped, and complies with venue rules and our instructions.
We reserve the right to refuse entry to late arrivals where admission would disrupt the session or prejudice safeguarding or safety.
We are not responsible for transport to or from any venue.
If a child is collected late, we reserve the right to charge reasonable additional supervision or administration fees, contact emergency contacts, make temporary arrangements we reasonably consider necessary, and suspend or terminate future attendance in repeated or serious cases.
Parent Responsibilities
Parents must provide full, accurate and up-to-date information and must disclose any medical condition, allergy, disability, special educational need, behavioural issue, safeguarding issue or support requirement relevant to the child’s attendance or participation.
Parents must also ensure that the child is fit and suitable to attend, that the child behaves appropriately and follows instructions, and that they themselves act respectfully towards our staff, tutors, contractors, venue personnel, other parents and other children.
We are entitled to rely on the information provided by you. We are not liable for any issue arising from incomplete, inaccurate or late disclosure.
Behaviour, Removal and Exclusion
We are committed to maintaining a safe, respectful and productive learning environment.
We reserve the right to remove any child from any session, class, course or event, whether temporarily or permanently, where in our reasonable opinion the child’s behaviour is disruptive, unsafe, abusive, bullying, discriminatory, aggressive, inappropriate or otherwise inconsistent with the proper delivery of the service.
We also reserve the right to suspend, terminate or refuse any booking where a parent behaves abusively, aggressively or unreasonably, there is repeated lateness, non-cooperation or disregard of our rules, safeguarding concerns arise, the child’s needs cannot reasonably be met, or continued provision of the services is not, in our opinion, in the interests of the child, our staff, other participants or our business.
Where a child is removed, suspended or excluded, a parent must arrange immediate collection if requested. No refund, credit or compensation will be due unless we decide otherwise.
Health and Emergencies
Parents must not send a child to an in-person service if the child is unwell, infectious or otherwise unfit to participate.
We may refuse attendance where we reasonably believe that attendance would create a risk to the child or others or where the child cannot safely participate.
Unless expressly agreed in writing, we are not responsible for administering medication.
In an emergency, accident, illness or safeguarding concern, we may contact the parent, emergency contacts, medical professionals or emergency services and take such steps as we reasonably consider necessary.
We shall not be liable for adverse consequences arising from action taken by us in good faith in an emergency. Parents remain responsible for associated medical and related costs unless caused by our negligence.
Safeguarding
We take safeguarding seriously and reserve the right to implement and update safeguarding procedures from time to time.
Parents and children must comply with all safeguarding requirements notified by us, including requirements relating to drop-off and collection, attendance and registration, approved adult contacts, online conduct and reporting concerns.
We may refuse attendance, suspend participation or terminate a booking where safeguarding information requested by us is not provided fully and promptly.
We reserve the right to make disclosures or referrals to relevant authorities, schools, local authorities, children’s services, police or other appropriate bodies where we reasonably consider it necessary to safeguard a child, protect staff or other participants, or comply with legal obligations.
Media, Photography and Recording
We may from time to time take photographs or video recordings at classes, sessions or events for purposes including internal training, record keeping, promotion and marketing.
We will only use identifiable images or recordings of a child for external promotional or marketing purposes where the parent has given any consent required by us or by law.
Parents must notify us in writing in advance if they do not wish the child to appear in internal or incidental group media capture to the extent that preference can reasonably be accommodated.
We cannot guarantee that a child will never appear incidentally in background or group imagery where media capture is taking place lawfully and reasonably.
Parents and children must not photograph, film or record other children, our staff or tutors, our educational materials, or any session or event without our prior written consent.
Any consent for media use may be withdrawn for future use by written notice, but withdrawal will not require the recall or deletion of material already lawfully produced or published where that would be unreasonable or disproportionate.
Intellectual Property
All intellectual property rights in our website, curriculum, branding, lesson content, worksheets, videos, recordings, slides, documents, resources and educational materials belong to us or our licensors.
Materials supplied to parents or children are for personal educational use only. You must not, without our prior written consent, copy, reproduce, adapt, distribute, publish, upload, sell, share or commercially exploit any of our materials or content.
Access to our materials may be withdrawn where fees remain unpaid or where these Terms are breached.
Website Use
You may use our website only for lawful purposes.
You must not misuse the website by introducing malicious material, attempt unauthorised access to the website or connected systems, interfere with website functionality or security, scrape or copy website content without our consent, or use the website in a way that is unlawful, fraudulent, harmful or damaging to our reputation.
We do not guarantee that the website will always be available, secure or free from defects. We may suspend, withdraw or change any part of the website without notice.
Personal Property
Any personal property brought to a venue or used in connection with our services is at your own risk.
We accept no responsibility for loss of, theft of or damage to personal belongings except to the extent directly caused by our negligence and not otherwise excludable by law.
Data Protection
We process personal data in accordance with applicable data protection law and our Privacy Policy.
Parents must ensure that all personal data provided to us about a child or any third party is provided lawfully and with any necessary authority or consent.
Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
Subject to that, we are not liable for any indirect or consequential loss, loss of profit, revenue or opportunity, loss of anticipated educational progress or outcome, loss arising from non-attendance, disengagement or misconduct, loss caused by incomplete or inaccurate information supplied by a parent, loss arising from third-party platforms, venues, utilities, internet failure or events beyond our reasonable control, or travel, accommodation, childcare or other incidental costs.
Our total aggregate liability arising out of or in connection with any booking or service shall not exceed the amount actually paid by you to us for the specific service giving rise to the claim.
All warranties, conditions and other terms implied by law are excluded to the fullest extent permitted by law.
Suspension and Termination
We may suspend or terminate any booking or cease providing services immediately if you fail to pay sums due on time, you or the child breach these Terms, the conduct of the parent or child is unacceptable in our reasonable opinion, safeguarding, health and safety or welfare concerns arise, requested information is not provided promptly, or continued provision of the services is unsuitable, impracticable, unsafe or not in the interests of the child, our staff, other participants or our business.
Upon termination, all outstanding sums become immediately due, we may cancel future bookings, and no refund shall be due except where required by law or expressly stated in these Terms.
General
We may amend these Terms from time to time and the latest version will be published on our website.
If any provision of these Terms is found invalid or unenforceable, the remainder shall continue in full force and effect.
No failure or delay by us in exercising any right shall amount to a waiver.
A person who is not a party to these Terms shall have no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.

SAFEGUARDING POLICY
Adirose Learning Limited
Safeguarding Policy
Last updated: 19 April 2026
Our Commitment
Adirose Learning Limited is committed to safeguarding and promoting the welfare of all children and young people who use our services.
We recognise that safeguarding is everyone’s responsibility. We aim to provide a learning environment that is safe, respectful and supportive, and in which children are protected from harm.
This Safeguarding Policy applies to our staff, tutors, contractors, volunteers, parents, guardians and any person involved in or attending our services.
Purpose of this Policy
The purpose of this Policy is to promote the safety and welfare of children, set out the responsibilities of staff, tutors, parents and others, support a culture of vigilance and appropriate reporting, provide a framework for identifying and responding to safeguarding concerns, and help ensure that our services are delivered in a way that protects children and staff.
Who this Policy Applies To
This Policy applies to in-person services, online services, one-to-one sessions, group sessions, workshops and events, website-related communications where relevant, and any other service or activity operated by Adirose Learning.
Key Principles
We aim to put the welfare of the child first, listen to children and take concerns seriously, maintain appropriate professional boundaries, promote safe recruitment and safe working practices where applicable, respond appropriately to concerns, disclosures or allegations, work with parents and external agencies where appropriate, and keep safeguarding under regular review.
Responsibilities
Adirose Learning expects all staff, tutors, contractors and adults involved in delivering services to act in the best interests of children, behave appropriately and professionally at all times, remain alert to signs of abuse, neglect, exploitation or risk, report concerns promptly through the appropriate channels, follow any safeguarding procedures in place, and respect confidentiality while understanding that confidentiality cannot override safeguarding responsibilities.
Parents and guardians are responsible for providing accurate and up-to-date information, informing us of any relevant welfare, behavioural, medical or safeguarding issues, complying with our drop-off, collection and communication procedures, ensuring children understand expected behaviour, and engaging constructively where concerns arise.
Types of Safeguarding Concern
Safeguarding concerns may include physical abuse, emotional abuse, sexual abuse, neglect, bullying or peer-on-peer abuse, online abuse or exploitation, inappropriate adult behaviour, unsafe collection arrangements, concerning changes in behaviour or presentation, disclosures made by a child, and any circumstance in which a child may be at risk of harm.
Responding to Concerns
Where a safeguarding concern arises, Adirose Learning may take such steps as it reasonably considers necessary. This may include making a written record of the concern, speaking to the child in an age-appropriate and careful manner, informing an appropriate senior person within the organisation, contacting the parent or guardian where appropriate, seeking advice from safeguarding professionals, contacting children’s services, the police, a school or another relevant authority, and taking immediate protective action where needed.
We will not promise confidentiality where a safeguarding concern is raised. Information may need to be shared with appropriate people or agencies in order to protect a child or comply with legal obligations.
Allegations or Concerns Involving Staff, Tutors or Adults
Any allegation or concern relating to the conduct of a member of staff, tutor, contractor, volunteer, parent or other adult will be taken seriously.
Adirose Learning reserves the right to suspend a tutor, contractor or staff member from duties while concerns are considered, restrict contact, remove a child or adult from a service or venue, report concerns to relevant authorities, and take such further action as is reasonably necessary.
Online Safety
Where services are delivered online, sessions should be conducted using approved platforms. Access details must not be shared with unauthorised persons. Children should participate from an appropriate environment, and parents remain responsible for supervision unless otherwise agreed. No unauthorised recording, filming, photography or screen capture is permitted.
Inappropriate conduct, language or behaviour may lead to immediate removal and further action. We reserve the right to end an online session immediately if safeguarding concerns arise.
Drop-Off and Collection
For in-person services, parents must comply with notified arrival and collection procedures. Children must be collected by a parent, guardian or authorised adult unless otherwise agreed. Parents must provide up-to-date emergency contact details.
We may request identification or confirmation where collection arrangements are unclear or where safeguarding requires it. Late collection may result in additional charges and/or further action.
If a child is not collected on time, we may take such steps as are reasonably necessary to protect the child.
Behaviour and Boundaries
We expect all adults and children participating in our services to behave respectfully and appropriately.
We do not tolerate bullying, intimidation, harassment, discriminatory language or behaviour, physical aggression, sexualised or inappropriate behaviour, abusive or threatening conduct, or conduct that places a child or another person at risk.
Where behaviour raises a safeguarding concern or is otherwise inappropriate, Adirose Learning may remove, suspend or exclude the child or adult concerned and take any further action reasonably required.
Photography, Recording and Use of Devices
To protect children and staff, parents and children must not photograph, film or record sessions, other children, staff or tutors without prior written consent. Device use may be restricted at certain venues, sessions or events, and unauthorised recording or image capture may lead to removal from the service and further action.
Any photography or recording by Adirose Learning will be handled in accordance with our Terms and Conditions and Privacy Policy.
Information Sharing
Information will be shared only on a need-to-know basis, except where wider disclosure is necessary to safeguard a child, protect others or comply with legal or regulatory duties.
Adirose Learning may share safeguarding-related information with parents or guardians where appropriate, schools, local authorities, children’s services, police, medical professionals or other relevant agencies.
Record Keeping
We may keep records of safeguarding concerns, incidents, disclosures, actions taken and communications relating to them.
Such records will be handled with appropriate care and confidentiality and retained in accordance with our legal obligations and internal requirements.
Safer Recruitment and Staff Conduct
Where applicable, Adirose Learning seeks to adopt safer recruitment and staff management practices appropriate to the nature of the services provided.
We expect tutors, staff and contractors to maintain professional boundaries at all times and not to engage in any conduct that is inappropriate, exploitative or inconsistent with the welfare of children.
Review of this Policy
This Safeguarding Policy may be updated from time to time to reflect changes in law, guidance, operational practice or our services.
The current version will be published on our website.
